China's securities regulator has granted approval to Citigroup to establish a wholly-owned securities company in the country, marking a significant expansion of the American financial institution's operations in China.1 The newly formed entity, Citigroup Securities (China) Co., Ltd., will be headquartered in Shanghai with a registered capital of 1.2 billion yuan (approximately 5.85 billion New Taiwan dollars).1 This approval makes Citigroup the seventh foreign-owned wholly-owned securities company operating domestically in China.1
The securities company will be authorized to conduct securities brokerage, securities investment consulting, securities underwriting and sponsorship, and proprietary securities trading.1 Citigroup withdrew from its joint venture investment banking business with Orient Securities in 2019 and submitted its application to China's securities regulator in November 2021.1 The approval process advanced in December 2023 when regulators decided to accept the application, followed by formal approval opinions issued in February 2024.1
Citigroup Group Chief Executive Officer Fraser stated that the approval would enhance the company's ability to raise capital for Chinese clients, connect investors, and expand trade-related services.1 The authorization reflects China's commitment to orderly expansion of market liberalization.1
