国家发展改革委公布新版《对外投资管理办法》，自2026年12月1日起施行，将取代2017年版本《企业境外投资管理办法》。1新办法在保持政策稳定性的基础上，扩大了投资者范围，纳入境内企业、其他组织和居民个人，并完善了对外投资保护、风险防范和监管制度，以适应外部环境的复杂变化和对外投资的多元化发展。1
近年来中国对外投资规模持续增长。1对外投资流量从2017年的1583亿美元增至2025年的2136亿美元，存量则从1.8万亿美元增至3.4万亿美元。12025年中国对外直接投资流量比上年增长11.1%。1对外投资存量连续9年保持全球前三，占全球投资比重为7.4%。1
新办法共76条，分为总则、对外投资指导和服务、对外投资监管、对外投资保护、法律责任、附则六章。1其中设置了对外投资信息年度报告制度，以及针对大额、涉及外交关系项目的前期工作情况报告制度。1
The National Development and Reform Commission has released a revised version of the Measures on Administration of Outbound Investment, which will take effect on December 1, 2026, replacing the 2017 edition 1. The updated framework expands the scope of investors to include domestic enterprises, other organizations, and individual residents, while enhancing protections for foreign investments, risk prevention mechanisms, and regulatory oversight to meet the evolving external environment and diversified nature of outbound investment 1.
Chinese outbound investment has grown substantially over the past decade. Outbound investment flows increased from 158.3 billion U.S. dollars in 2017 to 213.6 billion U.S. dollars in 2025, while the stock of outbound investment rose from 1.8 trillion U.S. dollars to 3.4 trillion U.S. dollars 1. In 2025 alone, outbound direct investment flows grew 11.1 percent compared to the previous year 1. China's outbound investment stock has maintained a position among the global top three for nine consecutive years, representing 7.4 percent of global investment 1.
The new measures comprise 76 articles organized into six chapters covering general provisions, guidance and services for outbound investment, regulatory oversight, protection of outbound investment, legal liability, and supplementary provisions 1. Key institutional additions include an annual reporting system for outbound investment information and a pre-project reporting requirement for large-scale or diplomatically sensitive projects 1. The 2017 Measures on Administration of Enterprises' Overseas Investment will be simultaneously repealed 1.
