携程的违法行为主要包括两种方式[1]。一是通过要求酒店签署"最优价格条款",限制酒店在其他渠道的定价自由;二是利用"调价助手"等技术工具对酒店价格进行监控和调整,该工具每天约在9点、10点、12点、14点、18点进行监测,凌晨也会继续调整,仅一个月内自动调整价格超过100次[1]。这些措施导致酒店佣金从最初的约10%上升到部分房型超过25%[1]。携程在国内核心酒旅市场的GMV市占率约56%[1]。
携程已全盘接受处罚决定[2],表示将"深入反思、自我革新,坚决摒弃'内卷式'低效竞争"[1]。公司随后公布了五个方面共19项整改措施,包括停止独家合作行为、取消不合理的最低价要求、维护酒店经营者自主经营权、强化消费者保护以及加强反垄断合规建设[2]。此外,携程已于2026年3月全面下线"AI生意助手"(原调价助手)功能[2],并退还因挂牌通调价行为扣除的订单储备金122,781,078元[2]。
China's State Administration for Market Regulation announced on July 25 an administrative penalty against Ctrip Group for abusing its market dominant position through monopolistic practices, with total fines and confiscations reaching 5.179 billion yuan.[1] The penalty comprises a confiscation of 1.658 billion yuan in illegal gains, a fine of 3.521 billion yuan—representing 7.5% of the company's 46.958 billion yuan in domestic sales revenue during 2025—and a full refund of 122.78 million yuan in order reserve funds.[1]
Ctrip maintained approximately 56% market share in China's core hotel and travel booking sector as of end-2024.[1] The company had implemented monopolistic conduct through two primary mechanisms: requiring hotels to sign "lowest price guarantee clauses" and deploying the "price adjustment tool" to automatically modify room rates at specific times throughout the day, sometimes over 100 times within a single month.[1] Hotel commissions surged from an initial approximately 10% to over 25% for certain room categories.[1] The regulator found these practices constituted unlawful restrictions on transactions and imposed unreasonable trading conditions.[1]
In response, Ctrip stated its acceptance of the decision and unveiled 19 remedial measures across five categories.[2] These include ceasing exclusive partnerships, eliminating unreasonable minimum price requirements, protecting hotel operators' autonomous management rights, strengthening consumer protections, and enhancing anti-monopoly compliance operations.[2] The company had already fully discontinued its "AI Business Assistant" (the renamed price adjustment tool) functionality in March 2026.[2]
